1. About This Disclaimer

AIMES LAB FOR COMPUTER SYSTEMS & COMMUNICATION EQUIPMENT SOFTWARE DESIGN CO. L.L.C. (license number 1389208) (“AIMES,” “Company,” “we”) is registered under the laws of the United Arab Emirates and licensed and governed by the Dubai Department of Economy and Tourism. AIMES may only undertake the economic activities that fall within the scope of its existing economic license.

This Disclaimer applies to Bishop, an AI-assisted, decision-support software platform for financial analysis and modelling available at https://bishop.aimestech.com (the “Services”), and forms an integral part of, and should be read together with, the Bishop Terms of Service and Privacy Policy. By accessing or using the Services, you acknowledge and agree to the terms of this Disclaimer.

2. Professional Use Only — No Advice

Bishop is intended exclusively for use by professional and enterprise users with the relevant financial, technical, or industry expertise to interpret and independently verify its outputs. Bishop is not intended for use by consumers or retail customers, and nothing in the Services is directed at, or should be relied upon by, a natural person acting outside of a trade, business, or profession.

Bishop provides decision-support outputs only. Nothing generated by Bishop constitutes, and must not be construed or relied upon as:

  • investment, financial, trading, or portfolio advice;
  • a recommendation, solicitation, or offer to buy, sell, or hold any security, financial instrument, or asset;
  • legal, tax, accounting, actuarial, or regulatory advice; or
  • a substitute for independent professional judgment, due diligence, or advice from a duly licensed advisor.

Any financial, operational, legal, tax, or other outcome that may result from decisions made using Bishop’s outputs is the sole responsibility of the user and the organization on whose behalf the user acts.

3. AI-Generated Content

Bishop uses third-party artificial intelligence and large language model technology (including services provided by OpenAI, processed in the United States and/or the EU) to generate certain analyses, summaries, narratives, or suggestions (“AI Outputs”). You acknowledge that:

  • AI Outputs are generated using probabilistic models and may be incomplete, outdated, biased, or factually incorrect (“hallucinated”), even where they appear confident or authoritative;
  • AI Outputs reflect patterns in training and input data and do not constitute verified facts, audited figures, or professional certification of any kind;
  • AI Outputs must be independently reviewed, validated, and approved by a qualified human professional before being used, published, filed, or relied upon for any purpose, including any decision with financial, legal, regulatory, or contractual consequences.

4. No Warranty on Inputs and Results

The optimization results, analyses, forecasts, and other outputs generated for the user (“Results of Use”) are based entirely on the model, scenario data, assumptions, and other inputs supplied by the user or the user’s organization. AIMES disclaims any and all responsibility for inaccuracies, omissions, or inconsistencies in such data, models, or other inputs, and for any Results of Use derived from them.

The user assumes full responsibility for verifying the accuracy, completeness, and suitability of all inputs and Results of Use for its specific needs. Except as expressly stated in a written agreement signed by AIMES, the Services and all Results of Use are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or that the Services will be uninterrupted, secure, or error-free.

5. Limitation of Liability

To the fullest extent permitted by applicable law, and without prejudice to Section 6 below:

  • AIMES, its affiliates, officers, employees, agents, licensors, and sub-processors (including the AI Sub-Processor) shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, use, or data, arising out of or in connection with the Results of Use, AI Outputs, or any decision or action taken in reliance on them;
  • AIMES does not guarantee, and is not liable for, any financial, operational, legal, tax, or other outcome arising from the use of the Services or reliance on any Results of Use or AI Outputs. Any decisions or actions based on Results of Use or AI Outputs are made solely at the user’s discretion and risk;
  • AIMES is not liable for any loss of data, corruption of data, or unauthorized access to data (including Customer Content) except to the extent such loss arises directly from AIMES’s gross negligence, willful misconduct, or fraud.

Aggregate liability cap. Except for liability that cannot be limited or excluded under applicable law (see Section 6), AIMES’s total aggregate liability arising out of or relating to the Services and this Disclaimer shall not exceed the greater of (a) the total fees actually paid by the customer to AIMES for the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) USD 100.

6. Mandatory Carve-Outs (Non-Waivable Liability)

Nothing in this Disclaimer excludes or limits liability that cannot lawfully be excluded or limited, including liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • gross negligence or willful misconduct, where such exclusion is prohibited under UAE law (including Federal Decree-Law No. 31 of 2021 promulgating the Crimes and Penalties Law and the UAE Civil Transactions Law);
  • statutory rights of consumers that cannot be waived under applicable law; and
  • for EU/EEA and UK-based customers, liability for losses or damages arising from AIMES’s failure to exercise reasonable care and skill or breach of contract, to the extent such losses were reasonably foreseeable and such liability cannot be limited under the applicable Member State or UK law.

Where a provision of this Disclaimer would otherwise be unenforceable in a given jurisdiction, that provision shall be limited or severed only to the minimum extent necessary, and the remainder of this Disclaimer shall remain in full force.

7. Regulated Activities

AIMES does not provide or distribute any regulated financial, investment advisory, or other licensed services through Bishop, and the Services are not registered with, endorsed by, or supervised by any financial regulator (including but not limited to the U.S. Securities and Exchange Commission, any EU/EEA national competent authority, the UK Financial Conduct Authority, the UAE Securities and Commodities Authority, the UAE Central Bank, or the Dubai Financial Services Authority). Should the Services, after the effective date, be determined to require a specific regulatory permit, license, approval, certification, or registration in any jurisdiction, AIMES and the affected customer will negotiate in good faith to amend the scope of the Services so that such regulatory requirement no longer applies. If the parties cannot reach agreement, AIMES may suspend or discontinue the affected Services in that jurisdiction without penalty or further liability to the user.

8. Regional Notices

  • United States. Bishop is not a registered investment adviser under the Investment Advisers Act of 1940 or any state securities law, and its outputs do not constitute personalized investment advice.
  • European Union/EEA. Bishop is not authorized under MiFID II or any national implementing measure to provide investment advice, and outputs are not “personal recommendations” within the meaning of applicable EU financial services regulation.
  • United Arab Emirates and Middle East. Bishop does not hold a license from the UAE Securities and Commodities Authority, the Central Bank of the UAE, DFSA, or FSRA, and does not provide licensed financial or investment advisory services.
