Welcome to Bishop, provided by AIMES LAB FOR COMPUTER SYSTEMS & COMMUNICATION EQUIPMENT SOFTWARE DESIGN CO. L.L.C. (license number 1389208, Dubai, United Arab Emirates) (“AIMES,” “Company,” “we,” “us”). These Terms of Service (“Terms”) govern access to and use of Bishop, our client software, websites, and related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms, together with our Privacy Policy, Disclaimer, Anti-Bribery, Corruption and Fraud Policy, Anti-Money Laundering and Combating Terrorism Financing Policy, and any Acceptable Use Policy referenced herein (collectively, the “Policies”). Your agreement is with AIMES LAB FOR COMPUTER SYSTEMS & COMMUNICATION EQUIPMENT SOFTWARE DESIGN CO. L.L.C.
1. Eligibility and Professional Use Only
Bishop is a professional, business-to-business decision-support tool for financial applications and is not offered to consumers. By accessing the Services, you represent and warrant that:
- you are at least 18 years of age (or the age of legal majority in your jurisdiction) and have the legal capacity to enter into a binding contract;
- you are accessing the Services in a professional, business, or trade capacity, and not as a consumer;
- if you are acting on behalf of an organization, you have the authority to bind that organization to these Terms; and
- your use of the Services complies with all applicable laws, including export control, sanctions, and anti-corruption laws described in Section 15.
2. Your Stuff and Permissions
When using the Services, you may provide or create information, including account details, data entered into the system, models, templates, and other content related to your projects (“Your Stuff”). Ownership of Your Stuff remains exclusively yours. These Terms do not grant AIMES any proprietary rights to Your Stuff, other than the limited rights necessary to provide the Services, including transmitting Your Stuff to the AI Sub-Processor described in Section 5 where you use AI-assisted features.
By using the Services, you grant AIMES, our affiliates, and trusted third-party service providers the rights to host, back up, process, delete, and share Your Stuff solely as necessary to operate, secure, and support the Services, or as otherwise instructed or required by you.
3. Your Responsibilities
You must use the Services in accordance with our Acceptable Use Policy and all applicable laws, including intellectual property, data protection, financial services, and export control regulations. You are responsible for safeguarding your account credentials, keeping your account information current, and ensuring credentials are not shared or misused. Unauthorized access to or use of your account is prohibited and must be reported to us promptly.
AIMES may review activity and content to ensure compliance with these Terms and the Policies but is not obligated to do so, and is not responsible for content created, posted, or shared by users through the Services.
4. Nature of the Services; No Advice
Bishop provides AI-assisted decision-support outputs for financial modelling and analysis. Bishop does not provide investment, financial, legal, tax, or other regulated professional advice, and all outputs must be independently verified by a qualified professional before being relied upon. The full terms governing liability for Results of Use and AI Outputs are set out in the Bishop Disclaimer, which is incorporated into these Terms by reference.
5. AI Sub-Processing (OpenAI)
Certain Bishop features rely on third-party AI/large language model services provided by OpenAI (“AI Sub-Processor”). By using such features, you acknowledge that data you submit may be processed by the AI Sub-Processor in the United States or, where enabled, within the EU, under contractual terms consistent with the OpenAI Data Processing Addendum and, where applicable, EU Standard Contractual Clauses. Further detail is provided in the Privacy Policy. You must not submit data through AI-assisted features that you are not authorized to disclose to a sub-processor.
6. Software License
Certain Services may require downloading client software (“Software”), which may be updated periodically. Subject to compliance with these Terms, AIMES grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely to access the Services. Where any portion of the Software is governed by an open-source license, such license terms may override conflicting provisions of these Terms, and AIMES will make the relevant license terms available on request. You may not reverse-engineer, decompile, or attempt to derive the source code of the Software, except to the extent expressly permitted by applicable law (including Section 296A of the German Copyright Act, Article 6 of EU Directive 2009/24/EC on computer program protection, or equivalent mandatory provisions elsewhere).
7. Beta Services
From time to time, AIMES may offer features in testing or evaluation phases (“Beta Services”), identified by terms such as “alpha,” “beta,” “preview,” “early access,” or similar. Beta Services may be less reliable than generally available Services and are provided “as is” without warranty. By using Beta Services, you consent to being contacted for feedback and agree to keep confidential any non-public information about Beta Services, unless and until officially launched, without AIMES’s prior written consent.
8. Third-Party Sites and Services
The Services may contain links to third-party websites, services, or advertisements not owned or controlled by AIMES. AIMES does not endorse, and accepts no responsibility for, the content, products, services, or practices of such third parties, including the AI Sub-Processor’s own end-user terms where separately applicable. Use of third-party services is at your own risk.
9. Privacy and Data Protection
Collection and use of personal data by AIMES is governed by our Privacy Policy, which is incorporated into these Terms. If Your Stuff includes personal data of third parties (e.g., your employees, clients, or counterparties), you represent and warrant that you have a valid legal basis, have provided any required notices, and have obtained any necessary consents for AIMES and its sub-processors (including the AI Sub-Processor) to process such data in connection with the Services, in compliance with GDPR, the UAE PDPL, applicable U.S. state privacy laws, and any other applicable data protection law. You are solely responsible for compliance with data privacy laws applicable to Your Stuff.
10. Intellectual Property Rights
The Services, including all text, graphics, software, source code, logos, trademarks (“Bishop,” “AIMES,” and related marks), and other materials provided by AIMES, are the exclusive property of AIMES and its licensors. These Terms grant you no ownership interest in the Services or AIMES’s trademarks, logos, or proprietary materials. AIMES welcomes feedback but may use any comments, suggestions, or ideas you provide without obligation to you. You may not copy, modify, reproduce, distribute, create derivative works from, publicly display, or exploit the Services without AIMES’s prior written consent, except as expressly permitted by these Terms or applicable law.
11. Fees and Paid Accounts
1. Billing. Where AIMES offers paid plans or features, applicable fees, billing cycle, and payment terms will be presented at the point of purchase or in a separate order form/agreement.
2. Changes to Fees. AIMES may revise fees to reflect changes in the Services, business conditions, or economic factors, with at least thirty (30) days’ prior notice via email or in-product notification before any increase takes effect. You may cancel before the new fees apply.
3. Taxes. Fees are exclusive of applicable value-added tax, sales tax, withholding tax, or similar levies (including UAE VAT, EU VAT, and applicable U.S. state sales tax), which you are responsible for unless expressly stated otherwise.
4. Cancellation. You may cancel a paid subscription in accordance with the cancellation mechanism made available in-product or in your applicable order form.
12. Term, Suspension, and Termination
You may stop using the Services at any time. AIMES may suspend or terminate your access upon reasonable notice where: (a) you are in breach of these Terms or the Policies; (b) your use poses a material risk of harm to AIMES, other users, or third parties; or (c) you hold a free account that has been inactive for six (6) consecutive months. Where feasible, AIMES will provide prior notice by email specifying the issue and a reasonable opportunity to remedy it and export Your Stuff. AIMES may terminate access without prior notice where: you are in material breach; providing notice would create legal exposure or compromise Services for other users; or notice is prohibited by law (e.g., sanctions or anti-money-laundering obligations).
13. Discontinuation of Services
AIMES may discontinue the Services in response to extraordinary events beyond its reasonable control (e.g., natural disaster, government action) or to comply with legal obligations. AIMES will provide reasonable prior notice (no less than thirty (30) days where circumstances allow) to enable you to export Your Stuff, and will issue a pro-rated refund for any prepaid, unused portion of the Services.
14. Services Provided “As Is”; Warranty Disclaimer
The Services and all Results of Use and AI Outputs are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, AIMES and its affiliates, suppliers, and distributors disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. This disclaimer does not override statutory consumer protections that cannot be waived under applicable law (which, in any event, do not apply given the professional-use-only nature of the Services described in Section 1).
15. Limitation of Liability and Indemnity
The allocation of liability for Results of Use, AI Outputs, and data loss is governed by the Bishop Disclaimer, which is incorporated by reference into these Terms and forms an essential part of the parties’ bargain. In addition:
- AIMES does not exclude or limit liability where such exclusion or limitation would be unlawful, including for fraud, fraudulent misrepresentation, death, or personal injury caused by negligence, or gross negligence/willful misconduct where non-excludable under UAE law.
- For EU/EEA and UK customers, these Terms do not exclude liability for losses reasonably foreseeable as a result of AIMES’s failure to exercise reasonable care and skill or breach of contract, to the extent such exclusion is not permitted under applicable law.
- Subject to the foregoing, AIMES’s aggregate liability under these Terms is limited as set out in the Disclaimer (the greater of fees paid in the preceding 12 months or USD 100).
Indemnity. You agree to indemnify, defend, and hold harmless AIMES, its affiliates, directors, officers, employees, agents, and licensors from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms, the Policies, or applicable law; or (b) content you provide or actions you take using the Services, including reliance by any third party on Results of Use you generated.
16. Compliance, Sanctions and Anti-Corruption
You agree to comply, and to ensure your authorized users comply, with: (a) applicable export control and economic sanctions laws of the United States (including regulations administered by OFAC), the European Union, and the United Arab Emirates; (b) the U.S. Foreign Corrupt Practices Act, the UK Bribery Act 2010, and the AIMES Anti-Bribery, Corruption and Fraud Policy; and (c) applicable anti-money laundering and counter-terrorist financing laws, including UAE Federal Decree-Law No. 20 of 2018 (as amended by Federal Decree-Law No. 26 of 2021). You represent that you are not a person or entity subject to applicable trade sanctions or included on a restricted-party list.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-laws principles. Subject to the paragraph below, the courts of Dubai shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.
This governing law and forum selection does not deprive EU/EEA, UK, or U.S. consumers (to the extent any such Terms were ever applied to a consumer, which the Services are not designed for) of the protection of mandatory provisions of the law of their habitual residence, nor does it override a customer’s right, where the customer is domiciled in the EU/EEA, to bring proceedings in the courts of its own domicile in respect of consumer-protection claims that cannot be validly waived. For enterprise customers, the parties may agree in a separate signed order form to resolve disputes by arbitration (e.g., under DIFC-LCIA or ICC rules seated in the DIFC, Dubai) in lieu of the courts of Dubai.
18. Entire Agreement; Modifications
These Terms, together with the Privacy Policy, Disclaimer, and other Policies referenced herein, constitute the entire agreement between you and AIMES regarding the Services, superseding any prior agreements on the subject matter. AIMES may revise these Terms to reflect changes in applicable law, new regulatory requirements, or improvements to the Services. Material changes will be notified at least thirty (30) days before taking effect via email or in-product notice. If you do not agree to updated Terms, you must stop using the Services and, where applicable, cancel your account before the effective date; AIMES will provide a pro-rated refund of any prepaid, unused fees. Continued use after the effective date constitutes acceptance of the revised Terms.
19. Waiver, Severability, and Assignment
A failure by AIMES to enforce any provision does not waive its right to enforce that provision later. If any provision is found unenforceable, it will be replaced with an enforceable provision reflecting its original intent, and the remainder of these Terms remains in effect. You may not assign your rights or obligations under these Terms without AIMES’s prior written consent. AIMES may assign these Terms to an affiliate, subsidiary, or successor in interest, including in connection with a merger, acquisition, or sale of assets.
20. Violation of Terms
If you violate these Terms or applicable law, AIMES may: (a) suspend or terminate your access; (b) seek damages or injunctive relief in a competent jurisdiction; or (c) report your activity to relevant regulatory or law enforcement authorities as required by law. You agree to reimburse AIMES for costs, damages, or losses (including reasonable legal fees) it incurs as a direct result of your breach.
